Monday, November 23, 2009

At an Extraordinary General Meeting of the members of Edmonton Northlands on Wednesday, November 18th, a resolution was unanimously passed to amend the Northlands Articles of Association.

The amendment called for:

•    The creation of a Board of Governors made up of the former Honorary Life Directors. The chair of the Board of Governors will be a Director and member of the Executive Committee. The other Governors will no longer be Directors.

•    A reduction in the number of elected Directors representing the Members from 18 to 12, which will be phased in over a 3-year period.

•    A reduction from 4 to 3 of the number of additional Directors that the Directors can appoint in consultation with the City.

•    A reduction in the number of City Council representatives from 4 to 2, although the Mayor will continue to hold the position of ex-officio Director.

•    A reduction in the number of Government of Alberta representatives from 2 to 1, and Government of Canada representatives from 2 to 1.

"With the members of Edmonton Northlands unanimously passing this special resolution, the Board of Directors can now work more strategically in mapping out the future of Northlands. These adjustments to our Governance structure are in keeping with best practices, and we are grateful to our various stakeholders, including all three orders of Government, in supporting us with this initiative," said Andy Huntley, Chair of the Board of Directors. “Our goal is to continue to deliver Edmonton’s most exceptional experiences, and a streamlined Board will certainly help us in this endeavor."
